The Nuts and Bolts of IP Due Diligence

Tuesday, May 6, 2008

5:00 pm – 9:00 pm

varies - see web site

Intellectual Property Professionals will be presenting on the topic of "The Nuts and Bolts of IP Due Diligence, what the venture capitalist and entrepreneur should ask for and what they should expect."

The panelists:  John Boger,  Heslin, Rothenberg Farley & Mesiti, Bela Musits, High Peaks Venture Partners, and Chuck Rancourt, RPI Office of Technology will discuss the three main areas of focus when IP due diligence is performed on behalf of a buyer, investor or start up company. These focal areas include:
1. Whether one has the freedom to operate in a certain market place and is clear to sell a certain product, as well as what the competitive landscape appears to be;
2. Whether the IP that the buyer is considering to purchase or venture capitalist is contemplating investing in is valid and enforceable and what the scope of coverage is for the issued patents;
3. Determination of who the owners are for the IP under consideration.
Further discussion will include what one should expect the deliverables to be following the performance of an IP due diligence project and the strategy one might employ to best use these deliverables.

The event will also offer an opportunity to personally network with Upstate and NYC capital providers; legal and accounting firms; and others interested in venture and private equity transactions.
